Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of DMStack — including dmstack.io, our dashboard, our apps, and the chat widget you embed on your website (together, the “Service”) — provided by DM Stack (“DMStack,” “we,” “us”). By creating an account or using the Service, you agree to these Terms. If you’re agreeing on behalf of a company, you confirm you have the authority to bind that company, and “you” refers to that company.

If you don’t agree with these Terms, please don’t use the Service. We’ve kept this as plain and direct as we could — if anything is unclear, email us at hello@dmstack.io before signing up.

The Service

DMStack is a live chat, AI chatbot, and omnichannel messaging platform that helps businesses talk to their website visitors and customers. The Service includes the chat widget, the unified inbox, the chatbot flow builder, video calling, and connections to channels like WhatsApp, Telegram, and Facebook Messenger. We may add, change, or remove features over time as the Service evolves.

Accounts & Eligibility

You must be at least 18 years old and able to form a binding contract to create a DMStack account. You’re responsible for keeping your login credentials confidential and for all activity that happens under your account, including actions taken by team members you invite, integrations you connect, and chatbots you publish. You agree to provide accurate account information and to keep it up to date. Let us know right away at hello@dmstack.io if you suspect unauthorized access to your account.

Plans, Free Trial & Billing

DMStack offers a Free plan and paid plans (currently Standard and Popular), each with different features and conversation history limits, plus a 10-day free trial on paid features for new accounts. No credit card is required to start the Free plan or trial. If you upgrade to a paid plan, you authorize us to charge your chosen payment method on a recurring basis (monthly or annual, depending on what you select) until you cancel.

  • Fees are billed in advance and are non-refundable except where required by law
  • You can cancel anytime from your account settings; cancellation takes effect at the end of the current billing period
  • We may change pricing for future billing cycles with reasonable advance notice
  • Failure to pay may result in suspension or downgrade of your account

Acceptable Use

You agree to use DMStack only for lawful purposes and won’t use it to send spam, malware, or unsolicited bulk messages; harass, deceive, or impersonate anyone; collect visitor data without a lawful basis or proper disclosure; reverse-engineer, copy, or resell the Service without our written consent; attempt to disrupt, overload, or gain unauthorized access to our systems; or use the Service to build a competing product. This applies equally to messages sent through the chat widget and through any connected channel like WhatsApp, Telegram, or Messenger. We may investigate suspected violations and may suspend or terminate accounts that breach this section, with or without notice depending on severity.

Service Availability & Changes

We work to keep DMStack reliable, but we don’t guarantee the Service will be available without interruption. We may perform scheduled or emergency maintenance, and we may modify, add, or discontinue features as the product evolves. Where a change materially reduces core functionality you rely on, we’ll make a reasonable effort to give advance notice so you can plan around it.

Your Content & Conversation Data

You retain ownership of the content you and your visitors create through the Service — messages, chatbot flows, uploaded files, and customer data (“Your Content”). You grant DMStack a limited license to host, process, transmit, and display Your Content solely to provide and improve the Service for you. You’re responsible for having the rights and any required consents to collect and process the data your visitors share with you through DMStack, including complying with applicable privacy laws in your own markets.

AI Chatbot Features

Our chatbot builder uses automated and AI-assisted responses. These are generated based on the flows you design and the conversation content, and while we work to keep them useful, AI-generated replies can be inaccurate or inappropriate in some situations. You’re responsible for reviewing and testing any chatbot flow before relying on it for sensitive interactions, and for giving customers a clear path to reach a human agent.

Third-Party Channels & Integrations

When you connect DMStack to WhatsApp, Telegram, Facebook Messenger, video tools, or any of our other 50+ integrations, your use of those channels is also subject to that provider’s own terms and policies. You’re responsible for complying with each platform’s rules — for example, WhatsApp’s Business Messaging Policy and opt-in requirements — and for any consequences if you fail to do so, including suspension by that provider. We’re not responsible for changes those providers make that affect how their channel works with DMStack, or for any outage on their end.

Intellectual Property

The Service, including its software, design, branding, and underlying technology, is owned by DMStack and our licensors and is protected by intellectual property laws. These Terms don’t grant you any ownership in the Service — only a limited, non-exclusive, non-transferable right to use it for your own business while your account is active. You may not use our name, logo, or trademarks without our prior written permission, except as needed to identify that you’re a DMStack customer.

Feedback

If you send us suggestions, ideas, or feedback about the Service, you agree we can use them to improve DMStack without any obligation to compensate you or keep them confidential.

Termination

You may stop using the Service and close your account at any time from your account settings or by emailing us. We may suspend or terminate your access if you breach these Terms, if required by law, if your payment fails and isn’t resolved within a reasonable period, or if we discontinue the Service, with notice where reasonably possible. On termination, your right to use the Service ends and we may delete your account data after a reasonable grace period, though some provisions of these Terms — including payment obligations, intellectual property, confidentiality, and limitation of liability — will continue to apply.

Disclaimers

The Service is provided “as is” and “as available.” We don’t guarantee that it will be uninterrupted, error-free, or that AI-generated content will always be accurate, appropriate, or compliant with your industry’s regulations. You’re responsible for reviewing automated messages before they go live and for how you use the Service to interact with your own customers. To the extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, DMStack and its suppliers won’t be liable for indirect, incidental, special, or consequential damages, including loss of profits, revenue, or data, arising from your use of the Service, even if we’ve been advised of the possibility of such damages. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose, or $100 if you’re on the Free plan. Some jurisdictions don’t allow these limitations, so they may not fully apply to you.

Indemnification

You agree to defend and indemnify DMStack against claims, losses, or damages arising from your use of the Service, Your Content, or your violation of these Terms or applicable law, including claims related to how you collect or use visitor data through the Service.

Governing Law & Disputes

These Terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to conflict-of-law principles. If a dispute arises, we ask that you contact us first at hello@dmstack.io so we can try to resolve it informally before pursuing any formal claim.

Changes to These Terms

We may update these Terms from time to time. For material changes, we’ll provide reasonable advance notice — for example, by email or an in-app notice — before the new Terms take effect. Continuing to use the Service after that point means you accept the updated Terms.

General Provisions

If any part of these Terms is found unenforceable, the rest will remain in full effect, and the unenforceable part will be applied to the greatest extent the law allows. You may not assign or transfer your rights under these Terms without our written consent; we may assign ours in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy, make up the entire agreement between you and DMStack regarding the Service and replace any prior agreements on the same subject.
